3PL Slack Community Membership Agreement

This Membership Agreement ("Agreement") is between Good Company Ships LLC ("we," "us"), operator of the 3PL Slack Community ("the Community"), and the company that purchases a membership ("you," "Member").

By checking the box at checkout you agree to these terms. The individual who accepts represents that they have authority to bind the Member company to this Agreement. If they do not, they accept these terms personally as well.

1. What a membership is

A membership is sold to one company. What you purchase is the company membership itself, which includes access to the Community's private Slack workspace for up to the number of seats your plan covers, plus any member resources we make available from time to time. Seats are included in the membership. They are not sold individually and are not priced individually. The fee shown at checkout buys the membership as a whole, whether or not you fill every seat it includes. Leaving a seat unused does not reduce your fee, and does not entitle you to a refund, credit, or discount.

Membership is a revocable license to participate. It is not an ownership interest, a partnership, a joint venture, or an employment or agency relationship.

2. Seats

Your membership includes up to the number of named seats shown at checkout. Additional seats beyond that number may be purchased at any time.

Seats are assigned to named individuals at your company. Seats may not be shared, sold, or given to anyone outside your company, including contractors, clients, or affiliated businesses operating under a different name. Every person who takes a seat must accept this Agreement before they are given access, including the Code of Conduct in Section 8 and the confidentiality obligations in Section 9. This applies to every seat, not only the person who paid. Each acceptance is recorded with the version accepted and the date. Swapping a seat. You may reassign any seat to a different person at your company at any time, at no charge, by telling us. We will remove the former holder's access and invite the new one. There is no limit on how often you may do this, and a swap does not change your fee, your renewal date, or your rate. If we remove a seat holder. Because seats are included in the membership rather than purchased individually, removing one person under Section 13 does not reduce what you bought and does not create a refund, credit, or reduction in fees. Your membership continues, and you may fill the vacated seat with another person at your company under the swap provision above. Nothing in this paragraph affects your rights if we end the membership as a whole, which is governed by Sections 7 and 13.

3. Fees and billing

Paid membership begins November 1, 2026.

Your rate, your billing period, and the number of seats included are the ones shown to you at checkout and on your receipt. Those terms are part of this Agreement. Rates differ between plans and between members depending on when and how a membership was started, and we do not publish a single rate card.

All amounts are in US dollars. Fees do not include any applicable taxes, which we will add where we are required to collect them.

Billing is handled by Stripe. By subscribing you authorize us to charge your payment method on the schedule below until you cancel. Dates are in America/Chicago time.

How billing works. Memberships bill on an anniversary cycle. Your first paid charge starts a billing period, and each renewal falls on the same date one period later. Monthly plans renew every month from that anniversary date. Annual plans renew every twelve months from that anniversary date. Each charge covers one full billing period of access. We do not prorate a first period down to a partial month.

Your anniversary date depends on when you subscribe:

If you subscribe before November 1, 2026. You complete checkout and save a payment method before paid access begins. You are not charged at checkout. Your first charge is on November 1, 2026, and covers the billing period that starts that day. Your anniversary date is the 1st of the month. Monthly plans renew on the 1st of each month. Annual plans renew each November 1. That schedule holds for as long as the membership stays active.

If you subscribe on or after November 1, 2026. Your first charge is due at checkout and covers one full billing period starting that day. Your anniversary date is the date of that first charge. Your next charge is on the same date one month later (monthly) or one year later (annual), and so on. Renewals are not moved to the first of a calendar month.

If a renewal date falls on a day that does not exist in a later month (for example, a January 31 monthly anniversary in February), billing follows Stripe's normal month-end handling for that date.

Subscriptions renew automatically at your plan's then-current rate unless you cancel first.

Your rate is confidential. It is for you and us, not for the room.

4. Adding seats mid-term

Seats added during a monthly billing period are charged the full monthly seat rate for the billing period in which they are added.

Seats added during an annual term are charged for the months remaining in your term at the monthly seat rate, billed immediately. Those seats then renew with your annual term at the annual seat rate. Seat rates are shown at checkout.

5. Price changes and the founding rate

We may change standard rates with at least 30 days' notice before your next renewal. If you do not want the new rate, cancel before that renewal.

Some members are offered a founding rate by invitation. The invitation expires one year from the date it is issued. If you have not started a paid membership by then, the founding rate is no longer available to you.

Once claimed, the founding rate does not expire and does not increase. It applies for as long as your membership stays continuously active, including every renewal. If a founding membership lapses, is cancelled, or is ended for nonpayment, the founding rate is gone, and any later membership is at the rates then being offered.

6. Cancellation

You may cancel at any time. Tell us in writing or cancel through the billing portal link on your receipt.

Cancellation takes effect at the end of your current billing period. You keep access through that date, and you will not be charged for the next period.

7. Refunds

Monthly plans are not refunded. You keep access through the end of the billing period you paid for.

Annual plans are refunded for the unused portion of the term. To calculate it we take what you paid, subtract the months you had access counted through the end of the billing period in which your cancellation takes effect, and charge those months at the monthly rate for your plan rather than the discounted annual rate. The difference is your refund.

For example, if you cancel during the third month of an annual term, we charge three months at your plan's monthly rate and refund the rest of what you paid.

The monthly-rate calculation exists because the annual price is discounted for committing to a year. If you do not stay the year, the months you used are priced the way monthly months are priced.

If that calculation comes to zero or less, there is no refund.

Refunds are issued to the original payment method within 10 business days.

If we remove you, Section 13 decides whether any refund is owed.

We may deduct any amount you already owe us from a refund.

8. Promotion, selling, and outside contact

The Community exists so that operators can ask each other real questions and get real answers. Protecting that is the reason for this section.

No promotion in the general room. Unless we have designated a place for it, you agree not to:

Designated spaces. We may, at our discretion, designate specific channels, listings, or other spaces where promotion is permitted, and set the rules for each. If we do, promotion is allowed there on those terms and nowhere else. Nothing in this Agreement obligates us to create, maintain, or continue any such space, and we may change or remove one at any time.

Contact outside the Community. Making connections is the point of this group, and those conversations will happen by email, phone, and in person. You may contact a member outside the Community with that member's express permission, including where they have invited you to follow up or have volunteered their contact details for that purpose. You may not use contact information obtained here to contact a member who has not agreed to be contacted.

Vendors. Companies whose primary purpose in joining is to sell to the membership may participate only if we have approved them in writing for that purpose, and only on the terms of that approval.

Harassment and safety. You will not harass, threaten, stalk, or abuse any member, and you will not dox anyone — meaning you will not publish or share another person's private personal information (home address, personal phone, personal email, family details, or similar) without their permission. Disagreement is fine. Targeted abuse is not.

A member recommending a tool or provider they actually use is the point of the room and is not solicitation. Being paid or compensated to place that recommendation is, unless you disclose it in the post.

9. Confidentiality

Assume everything said in the Community is confidential. Operators share rates, volumes, carrier issues, staffing numbers, and mistakes here because it is a closed room. This includes what you pay for your own membership, which we treat as confidential and ask you to as well.

You may use what you learn to run your business. You may not republish it, screenshot it, forward it, quote it publicly, or attribute it to the person who said it, outside the Community, without that person's permission.

You may use AI tools to help you read, search, summarize, or draft responses from Community content for your own work. Doing so does not relax any other part of this Agreement. You remain responsible for what the tool produces and for anything that leaves the tool — including any content it retains, trains on, or makes available to its provider or to anyone else. If the tool would cause a disclosure that this Agreement otherwise prohibits, you may not use it that way.

You are responsible for not bringing information into the Community that you are not free to share. Do not post anything covered by a customer NDA, anything identifying an end consumer, or any third party's confidential information.

This section survives the end of your membership.

10. Material nonpublic information and trading

Members handle shipping and inventory for brands, retailers, and carriers, some of which are publicly traded or are suppliers to publicly traded companies. Volume, inventory, and rate information discussed here can be material nonpublic information about those companies. Using it to trade securities, or passing it to someone who does, is illegal, and it would expose you, us, and the other members.

You agree that:

If you believe material nonpublic information has been posted, tell us and we will remove it.

Nothing we publish, including any aggregated benchmark report, is investment advice or is intended for use in securities trading.

11. Antitrust

Members are often direct competitors. Some conversations are off limits no matter how the room feels.

You will not use the Community to agree or coordinate with any other member on:

Sharing your own historical experience, or participating in an aggregated and anonymized benchmark we publish, is not an agreement and is allowed.

If a conversation heads toward any of the above, leave it and tell us. We will remove the thread and, if needed, the member.

12. Your content

You keep ownership of what you post.

You grant us a non-exclusive license to store and display your posts inside the Community; to include your data in aggregated, anonymized form in benchmark reports or other member resources; and to use Community content to operate, improve, and build tools for the Community, including search, retrieval, and internal AI assistants available only to members. We will not attribute anything to you or your company by name in a published report without your written permission, and we will not use Community content to train a model that is sold or made available outside the Community.

Your member profile and introduction may be visible to other members, along with any listing you choose to complete if we make one available.

13. Removal and suspension

We may suspend or end a membership at any time for breach of this Agreement, for nonpayment, for loss of eligibility under this section, or for conduct that makes the Community materially worse for other members.

Eligibility. Membership is for companies we admit, on criteria we set and may update. If your company stops meeting those criteria — including a change of control, a change of primary business, or a change that would have led us to decline the original application — we may end the membership. A removal for eligibility alone is not a serious breach; the unused portion of the term is refunded under the rule below.

Serious breach — no refund. If we remove you for breach of Section 9 (confidentiality), Section 10 (material nonpublic information and trading), Section 11 (antitrust), for scraping, bulk-exporting, or reselling the member list or message history under Section 8, or for threats or doxxing under Section 8, the membership ends immediately and no refund is owed for any unused part of the term. These breaches cause harm to the Community that cannot be undone or reasonably measured, which is why the remaining fees are forfeited rather than returned.

Any other removal — unused portion refunded. If we remove you for any other reason, including other breaches of Section 8 (such as ordinary solicitation or harassment short of threats or doxxing), loss of eligibility, or conduct that makes the Community materially worse, the membership ends and we refund the unused portion of your term calculated the same way as Section 7. You are charged for the months you had access at the monthly rate for your plan, so removal is not a way to obtain the annual discount for a partial year.

Removing one seat holder versus ending a membership. This section applies both to ending a membership and to removing an individual seat holder. Where we remove one person but leave the membership in place, Section 2 governs the money: seats are included in the membership rather than purchased individually, so no refund, credit, or fee reduction is owed, and you may fill the vacated seat with someone else at your company at no charge. The refund rules below apply when we end the membership as a whole. For anything short of a serious breach we will tell you what the problem is and give you a reasonable chance to fix it before we remove you.

Nonpayment: if a charge fails, we will attempt it again. If it is still unpaid 15 days after the due date, access is suspended, and after 30 days the membership ends. No refund is owed for a membership ended for nonpayment.

We may end any membership for convenience on 30 days' notice, with the unused portion of your term refunded, calculated the same way as Section 7.

Removal does not waive any other right or remedy either of us has, and Sections 9, 10, and 11 continue to apply to you after your membership ends.

14. No advice, no guarantee

The Community is a place for peers to talk. It is not legal, tax, accounting, insurance, investment, or regulatory advice, and we do not verify anything a member says.

Any deal you do with another member, or with a vendor you find here, is between you and them. We are not a party to it, we do not endorse anything posted in a space we may designate for promotion or in any listing we may make available, we do not vet members' or vendors' businesses beyond an admission review, and we are not responsible for how it turns out.

We do not guarantee any level of activity, any particular members remaining in the Community, any response to a question you ask, or any specific benefit.

As is. The Community and everything in it is provided as is and as available. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted or error-free access, and the accuracy or reliability of anything any member posts.

15. Platform

The Community currently runs on Slack, which we do not control. Access depends on Slack's availability and its own terms of service. We are not responsible for Slack outages, changes, or account actions, and we may move the Community to another platform with reasonable notice.

16. Limitation of liability

To the fullest extent the law allows, our total liability arising out of this Agreement is limited to the fees you paid us in the 12 months before the claim.

Neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data.

17. Indemnification

You will indemnify, defend, and hold harmless Good Company Ships LLC and its officers, directors, employees, and agents from any claim, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising out of:

We will notify you of a claim promptly and let you control the defense, so long as you do not settle in a way that admits fault by us or imposes an obligation on us without our written consent. We may participate in the defense with our own counsel at our own expense.

18. Privacy

We collect your business contact information, your survey answers, and your billing details. We use them to run the Community, to build any member listings we make available, and to produce aggregated member resources. We do not sell member data or share it with vendors or sponsors.

Payment card details are handled by Stripe and are never stored by us.

19. Changes to this Agreement

We may update this Agreement. We will give at least 30 days' notice of any material change by email to your billing contact and a post in the Community. Continuing your membership after the effective date means you accept the change. If you do not accept it, cancel before that date and Section 7 applies.

20. General

Dispute resolution. Except for claims that may be brought in small-claims court, any dispute arising out of this Agreement or the Community will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in English, by a single arbitrator, and may proceed by video unless both parties agree otherwise. The arbitrator's decision is final and may be entered in any court with jurisdiction. You and we each waive any right to a jury trial and any right to participate in a class, collective, or representative action. Either party may seek provisional injunctive relief in court to protect confidentiality, intellectual property, or the integrity of the Community while the arbitration proceeds. If a court decides the class waiver is unenforceable as to a particular claim, that claim alone may proceed in court and the rest stay in arbitration. If arbitration itself is found unenforceable, disputes will be brought in the state or federal courts located in Greene County, Missouri, and both parties consent to that venue.

This Agreement is governed by the laws of the State of Missouri, without regard to conflict of laws rules.

Your membership is tied to your company and may not be transferred or assigned without our written consent. If your company is acquired, tell us, and we will not unreasonably withhold consent.

If any part of this Agreement is unenforceable, the rest stays in effect.

This Agreement, together with the plan details shown at checkout, is the entire agreement between us about the Community, and it replaces any prior understanding, including any prior donation arrangement.
